Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Automatry Ltd ("we," "us" or "our"), concerning your access to and use of the Automatry website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

2. Intellectual Property Rights

Unless otherwise indicated, the Site and our proprietary platforms (including Automatry Edge) are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

3. User Representations

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Service.

4. Products and Services

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products and services available on the Site. However, we do not guarantee that the colors, features, specifications, and details of the products or services will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products.

5. Modifications

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.

6. Use of the Automatry FSM Platform

Customers who use the Automatry FSM platform agree that their tenant data and end-customer messaging data may be processed by Automatry Ltd as a data processor on their behalf, subject to a Data Processing Agreement available on request. Tenants remain the data controller for their own customer information and are responsible for capturing and maintaining lawful basis for processing, including consent for messaging channels such as WhatsApp, SMS, and email.

7. Third-Party Services and Sub-Processors

The Site and the Automatry FSM platform rely on the following third-party sub-processors to deliver core functionality:

Meta Platforms, Inc. — WhatsApp Business Platform for outbound and inbound customer messaging.

Twilio Inc. — SendGrid for transactional email delivery, and Twilio messaging services for future WhatsApp Business Solution Provider routing.

Stripe, Inc. — payment processing for tenant subscriptions and customer invoicing.

Google LLC — Google Cloud Platform and Firebase for application hosting and data storage in EU regions.

The current sub-processor list and the regions in which data is held are maintained in the Privacy Policy.

8. Acceptable Use

You may not use the Site, the Automatry FSM platform, or any associated messaging channels to: send spam or unsolicited marketing through WhatsApp, SMS, or email; transmit content prohibited by the WhatsApp Commerce Policy or the WhatsApp Business Messaging Policy; scrape, reverse engineer, or otherwise interfere with the Site or platform; or facilitate downstream behaviour by tenant customers that would itself breach these Terms or applicable law. Tenants are responsible for the conduct of users they invite into their workspace.

9. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the English courts.
